Compensation

The compensation target range for this role is:

$106,300 - $125,000

Job Summary

Corporate Counsel is an entry-level staff attorney position within the Company that reports to and supports the Deputy General Counsel in implementing and managing legal strategic and tactical initiatives. The Deputy GC will train the Corporate Counsel on necessary skills related to contract review, drafting, and negotiation. Corporate Counsel also works in teams with other Company attorneys and legal staff. Corporate Counsel may be a legal generalist or may have one or more areas of expertise or focus. Corporate Counsel is responsible for providing legal services as requested and developing expertise pertinent to the needs of the Company. This person may also work with outside counsel retained to provide needed expertise. This person will regularly work directly with business clients within the Company.

Job Description

Essential Duties & Responsibilities: 

  • Interpret and assess legal documents, identifying associated risks. 

  • Assist in reviewing, drafting, and negotiating commercial contracts, including purchase and sale agreements, sourcing and vendor agreements, services agreements, leases, amendments, non-disclosure agreements, and all ancillary documentation .  

  • Conduct comprehensive reviews and analysis of diverse documents. 

  • Negotiate contract terms with an understanding of legal risks and compliance, business objectives and financial viability. 

  • Perform legal research and articulate clear legal perspectives. 

  • Mitigate legal risks with an understanding of business objectives. 

  • Assist with transactional due diligence, including for mergers and acquisitions. 

  • Draft legal memoranda and various documents. 

  • Assist in transformational improvement of contract review and approval process, and contract life-cycle management.  

  • Perform other duties as assigned. 

  

  

Required Skills, Education, Experience: 

  

  • Juris Doctorate Degree from an accredited law school. 

  • Licensed to practice law in the State of Utah: Applicants sitting for the 2025 bar exam will be considered.

  • Experience doing legal research and forming legal analyses. 

  • Experience negotiating contracts and managing contract life cycles for a business (preferred). 

  • Experience making legal and business decisions (preferred). 

  • Experience working and collaborating in team settings.

  • Remaining in stationary position, often standing, or sitting for prolonged periods of time.  

  • Adjusting or moving objects up to 15 pounds in all directions.

  • Communicating with others to exchange information. 

  • Repetitive motions that may include the wrists, hands and/or fingers. 

  • Assessing the accuracy, neatness and thoroughness of work assigned.
