Databricks is looking for a talented and experienced Senior Counsel to join our expanding Legal team to support M&A matters and other strategic initiatives.  This position will report to our Director & Assistant General Counsel, Corporate, Securities, and M&A, and is a unique opportunity to play a leading role and to provide business-focused legal advice to stakeholders throughout Databricks on a daily basis.  

You will be agile, highly organized, and have the skills, drive, and flexibility to support and accelerate a leading technology company, addressing cutting-edge legal issues and organizational challenges.  A successful candidate will be a resourceful self-starter, comfortable working in a fast-paced and dynamic environment, and excellent at building strong relationships.  

What you’ll do:

  • Lead and manage all legal aspects of global M&A transactions, including term sheet negotiations, deal structuring, running deal processes and diligence, assisting with antitrust and other regulatory processes, drafting and negotiating definitive documents, facilitating closing items, and addressing post-closing integration and indemnification issues
  • Provide legal support for other strategic transactions, including joint ventures and strategic investments
  • Provide expert legal guidance and business-focused advice to senior leadership and cross-functional teams throughout the M&A process, ensuring compliance with applicable laws and regulations
  • Coordinate with internal teams—including corporate development, finance, tax, and people operations—as well as external advisors to facilitate the smooth execution of transactions and ensure alignment on M&A strategies
  • Identify potential risks associated with target companies during due diligence processes and advise on effective mitigation strategies, including communicating findings, risks, and solutions to senior leadership
  • Oversee post-closing integration efforts to ensure compliance with transaction terms 
  • Stay current on relevant legal developments and industry trends to offer proactive advice, training, and support to the business while leading OKRs to continuously improve and scale processes related to M&A activities
  • Build strong relationships with internal stakeholders across multiple geographical locations to ensure effective communication and collaboration throughout the M&A lifecycle

What we look for:

  • At least 10 years of experience at a nationally recognized law firm and / or in-house legal department 
  • J.D. from a top-tier law school
  • Member of a state bar in good standing
  • You can build strong and deep working relationships with internal stakeholders over multiple geographical locations
  • You are able to understand challenging issues, assess risk, and provide concise, actionable, business-focused legal advice and counsel
  • You can coordinate, prioritize, and manage deadlines, workflow, and execute in a fast-paced and demanding work environment
  • You are a self-starter with the capability to operate independently and to interact confidently with senior management when required
  • You have a strong work ethic, excellent organizational skills and can manage many cross-functional projects simultaneously with minimal supervision

Pay Range Transparency

Databricks is committed to fair and equitable compensation practices. The pay range(s) for this role is listed below and represents base salary range for non-commissionable roles or on-target earnings for commissionable roles.  Actual compensation packages are based on several factors that are unique to each candidate, including but not limited to job-related skills, depth of experience, relevant certifications and training, and specific work location. Based on the factors above, Databricks utilizes the full width of the range. The total compensation package for this position may also include eligibility for annual performance bonus, equity, and the benefits listed above. $203,900$312,600 USD
