Provide legal counsel on commercial transactions and governance, manage risks, draft agreements, handle disputes, and support compliance. Facilitate factory establishment and liaise with external counsel.

Responsibilities :
- Support our business on a variety of commercial transactions and negotiations, advise on a wide variety of matters, draft and negotiate commercial agreements, implement best practices and documentation, and be in charge of corporate governance.
- Provide legal support to business projects and also the compliance review of U.S marketing.
- Identify and evaluate legal risks in the U.S. operation and management, research and interpret existing laws and regulations and anticipated changes to laws to guide informed decisions and reduce risks.
- Handle disputes and litigation cases.
- Prepare and review various agreements, contracts, and other legal documents.
- Represent the company in litigation, negotiations, and other matters where legal counsel is required.
- Familiar with Custom Laws so as to deal with some trade issues or contracts.
- Assist in the establishment of the factories, deal with relevant required documents and process of the setting up.
- Coordinate with outside counsel to address issues requiring specialized legal input.
- JD or LLM with outstanding academic credentials and at least one U.S. state bar (preferably Alabama or CA).
- 5+ years handling commercial transactions, in-house and/or at a reputable law firm (previous in-house experience strongly preferred).
- Experience in working for multi-national companies and familiar with the cultural differences thereof.
- Experience in negotiating, drafting, and solving issues for various types of commercial contracts.
- Ability to work in a fast-paced environment and comfort with the uncertainty inherent in building a business.
- Experience in working on multiple projects at once and delivering on time based on business priority.
- Excellent business and legal judgment and the ability to work flexibly with a variety of teams.
- Inquisitiveness, willingness to learn new things with the ability to take the initiative to solve problems without being explicitly instructed to do so.
- Willingness to take responsibilities and suggest practical solutions to move matters forward.
- Excellent communication skills (both verbal and written).
- Familiar with Custom Laws with experience of dealing with import/export trade.
- Background of construction or manufacture will be preferred.
- Bilingual in Mandarin Chinese and English is strongly preferred.
- Must be able to work legally in the U.S. .
